Terms of Sale, Erudiam
This English version is a translation provided for information only. The French version is the only authentic text and prevails in the event of any discrepancy.
These terms of sale (the "Terms of Sale") govern subscription to and use of Erudiam's paid offer.
They supplement Erudiam's terms of service (the "Terms of Service") and our Privacy Policy.
Wherever necessary, they distinguish Consumers from Business Customers.
TACIT RENEWAL (Consumers)
Your paid subscription is tacitly renewed for a period identical to the initial period (one month or one year) and at the price then in force, unless you object.
You can object to the renewal no later than the day before the renewal date stated in your order confirmation, using the online form or the means made available to you in your account. After the renewal, you can terminate at any time, without compensation, subject to a maximum notice period of one month. The details are set out in Article 7.
1. Publisher
Erudiam is operated by Jean de Loynes, a natural person, self-employed (as a secondary activity), registered with the Crossroads Bank for Enterprises and liable for VAT under number BE 1043.189.468, whose address is Avenue du Préau 20, 1040 Etterbeek (Belgium) ("we").
For any question about your order or your subscription, you can write to us at billing@erudiam.com. For any question about how the service works: support@erudiam.com.
2. Definitions and scope
In these Terms of Sale:
- "Service": Erudiam's platform and applications for preparing for EPSO competitions, as described in the Terms of Service;
- "Paid Offer": the paid plans of the Service ("Pro" and "Premium"), described in Article 3;
- "Subscription": the contract for a plan of the Paid Offer, for a monthly or annual period;
- "Consumer": any natural person who takes out a Subscription for purposes outside their trade, business, craft or profession;
- "Business Customer": any natural or legal person who takes out a Subscription for purposes relating to their trade, business, craft or profession;
- "you": the Consumer or the Business Customer, as the case may be;
- "Beneficiary": the natural person designated by the Business Customer to use the individual account associated with the Subscription.
These Terms of Sale apply to every Subscription. Clauses introduced by the words "Consumers" apply only to Consumers; clauses introduced by the words "Business Customers" apply only to Business Customers. Clauses without such words apply to everyone.
When ordering, you state whether you are a Consumer or a Business Customer. A Business Customer provides us with its enterprise number and, where applicable, its VAT number. It warrants that it is validly represented by the person placing the order.
A Subscription gives access to a single individual and personal account, in accordance with the Terms of Service. Where the Business Customer is a legal person or subscribes on behalf of a third party, it provides us with the identity and email address of the Beneficiary. It warrants that it has informed the Beneficiary of the processing of their data and has authorised them to use the Service.
In the event of a conflict between these Terms of Sale and the Terms of Service, these Terms of Sale prevail for everything relating to the Paid Offer (price, payment, duration, withdrawal, guarantees). The Terms of Service apply to all other matters.
3. Paid Offer and plans
The Service comprises a free plan and two paid plans, "Pro" and "Premium", each available as a monthly or annual subscription:
| Plan | Duration | Price (VAT included for Consumers) |
|---|---|---|
| Pro | Monthly | €14.99 |
| Pro | Annual | €149.90 |
| Premium | Monthly | €24.99 |
| Premium | Annual | €249.90 |
Introductory offer. When you first subscribe to a monthly plan, the price is reduced to €9.99 per month (Pro) or €19.99 per month (Premium) for the first three months. The offer is reserved for people who have not benefited from it in the previous two years. At the end of the three months, the price shown in the table above applies, without any further formality. The reduced price, its duration and the price that applies afterwards are shown before you confirm your order.
Free trial. Where it is offered when ordering a monthly plan, a 7-day free trial precedes the first paid period. You can cancel during the trial from your account, free of charge. Otherwise, the first payment is taken at the end of the trial, and the Subscription continues under the conditions of these Terms of Sale.
The content and features of each plan are described when you order. Some features may be subject to usage limits, as stated in the Terms of Service.
Erudiam is an educational preparation tool, independent of EPSO and of any institution of the European Union.
4. Prices and VAT
Consumers: prices are expressed in euros, all taxes included (VAT included). They are the same whichever Member State of the European Union you live in.
Business Customers: the prices shown in Article 3 include VAT. Business Customers established in another Member State of the European Union who provide us with a valid VAT number are invoiced without Belgian VAT and must self-account for VAT in their own State (reverse charge).
An invoice is made available to you electronically after each payment. You are responsible for the accuracy of the billing information you provide to us.
The applicable price is the one displayed at the time of the order, for the period subscribed. Price changes are governed by Article 11.
No additional charges are added to the price. Any fees charged by your bank or payment institution remain your responsibility.
5. Order and conclusion of the contract
To take out a Subscription, you choose the plan and the duration, check your order, then confirm it. You can correct any errors before confirming.
Confirming the order entails an obligation to pay.
The contract is concluded when we accept your order and your payment is confirmed. We then send you a confirmation by email, on a durable medium, setting out the plan, the price, the duration, the renewal date and the information on the right of withdrawal (Consumers), together with these Terms of Sale.
We may refuse or cancel an order for a legitimate reason, in particular in the event of a refused payment, suspected fraud or a previous breach of the Terms of Service or of these Terms of Sale. In that case, any sums already paid are refunded to you.
You must be at least 15 years old to take out a Subscription. A Business Customer that is a legal person acts through a person authorised to bind it.
If you are between 15 and 17 years old, you may take out a Subscription only with the authorisation of your parents or legal representatives. When you subscribe, you declare that you have this authorisation by ticking the box provided for that purpose. We keep a record of this declaration (date, time and version of these Terms of Sale accepted). Your parents or legal representatives can contact us at billing@erudiam.com with any question about, or challenge to, your subscription.
6. Payment
Payment is made online, through our payment provider Stripe.
The accepted means of payment are those offered on the secure payment page at the time of the order.
The price is payable on ordering (or, in the case of a free trial, at the end of the trial), then on each renewal. You authorise us to charge the price of each renewal period to the registered means of payment, on the renewal date.
Payment data is processed by Stripe, under the conditions described in our Privacy Policy.
If a payment fails (in particular on renewal), we inform you by email.
If the payment is not settled, access to the paid features is suspended 48 hours after the failure, and the Subscription is terminated on the 30th day, without prejudice to our right to claim the sums due.
Any refunds are made using the means of payment used for the order.
7. Duration, renewal and termination
7.1. Duration. The Subscription is concluded for a period of one month (monthly plan) or one year (annual plan), starting from the conclusion of the contract.
7.2. Tacit renewal. At the end of each period, the Subscription is tacitly renewed for an identical period, at the price then in force, unless you object in accordance with the arrangements below.
7.3. Consumers: objecting to renewal. You can object to the renewal no later than the day before the renewal date stated in your order confirmation, using the online form or the means made available to you in your account.
If you object within this period, the Subscription ends when the current period expires, free of charge, and you keep access to the Paid Offer until that date. This clause is also reproduced on the first page of these Terms of Sale.
7.4. Consumers: advance notice. For Subscriptions lasting more than one month, we send you an email, on a durable medium, no later than 15 days before the deadline for objecting.
This email reminds you of the upcoming renewal, the applicable price and how to object to it.
7.5. Consumers: termination after renewal. After a renewal, you can terminate the Subscription at any time, without compensation, subject to a maximum notice period of one month. The Subscription ends when the notice period expires, and you keep access to the Paid Offer until that date.
Sums paid in advance for the period after the end of the notice period are refunded to you pro rata, within 14 days of the end of the Subscription, using the means of payment used for the order.
7.6. Business Customers: termination. You can prevent the renewal by terminating the Subscription no later than the day before the renewal date. Otherwise, the new period is due in full.
Apart from this case, no refund, even partial, is due for the current period, and you keep access to the Paid Offer until the end of that period.
7.7. Arrangements. Termination or objection is made using the online form or the means made available to you in your account.
We acknowledge receipt by email.
7.8. Termination by us. We may terminate the Subscription with immediate effect, after informing you by email, in the event of a serious breach of the Terms of Service or of these Terms of Sale, fraud or non-payment (Article 6).
In the event of a breach on your part, no refund is due. If we end the Subscription for any other reason, we refund you pro rata for the period paid for and not used.
7.9. Deleting your account. If you close your account while a Subscription is in progress, the closure constitutes termination of the Subscription:
- Consumers: before the renewal, it constitutes an objection to the renewal if it takes place no later than the day before the renewal date (Article 7.3). After a renewal, it constitutes immediate termination of the Subscription, and we refund you pro rata the sums paid in advance for the unused period, within 14 days, using the means of payment used for the order (Article 7.5);
- Business Customers: it constitutes termination in accordance with Article 7.6.
Closing the account ends your access to the Service. It becomes final after the 30-day period provided for in the Terms of Service; if you cancel it within that period, your access to the Paid Offer is restored until the end of the Subscription.
You can ask for your account to be erased immediately: access to the Paid Offer then ends. If you are a Consumer and the Subscription has already been renewed, the pro rata refund provided for in Article 7.5 applies; in all other cases, no pro rata refund is made, without prejudice to Article 8.
No payment is taken after the end of the Subscription.
7.10. Effects of the end of the Subscription. At the end of the Subscription, access to the paid features ends. Your data is processed in accordance with our Privacy Policy.
We invite you to retrieve the content you have created (for example your written essays) before the Subscription ends.
8. Right of withdrawal (Consumers)
8.1. Scope. This article applies only to Consumers. Business Customers have no right of withdrawal, whether statutory or contractual.
8.2. Period. You have a period of 14 days to withdraw from your Subscription, without having to give any reason. This period runs from the day the contract is concluded (Article VI.47 of the Code of Economic Law).
8.3. How to withdraw. The Customer may exercise the right of withdrawal at any time during the fourteen (14) day period from their account, on the website as well as in the mobile application, using the "Withdraw from the contract here" function in the "Subscription & billing" section.
There, the Customer confirms their name and the contract concerned, then gives the email address to which the acknowledgement of receipt will be sent. They may, if they wish, state the reason for their withdrawal; this is optional and has no effect on their right. The withdrawal is recorded only once it has been confirmed using the "Confirm withdrawal" function.
As soon as it is confirmed, the subscription is cancelled and Erudiam sends, without delay and on a durable medium, an acknowledgement of receipt setting out the content of the statement and the date and time it was submitted.
The sums due are refunded automatically, using the means of payment used for the subscription, within fourteen (14) days at the latest, less any amount provided for in Article 8.6.
The Customer may also withdraw using the model form set out in the annex or any other unequivocal statement sent to billing@erudiam.com.
8.4. Request for immediate performance and loss of the right of withdrawal. As a rule, you want to access the Paid Offer immediately.
By confirming your order, you (i) expressly request that performance of the Subscription begin before the end of the 14-day withdrawal period, (ii) give your prior express consent to access to the Paid Offer being provided to you immediately; (iii) acknowledge that, if you withdraw after performance has begun, you pay us an amount proportionate to what has been provided to you up to the time you informed us of your withdrawal, in accordance with Article 8.6; (iv) acknowledge that you lose your right of withdrawal if the service has been fully performed before the end of the 14-day period (Article VI.53, 1°, of the Code of Economic Law).
8.5. Confirmation. We send you, on a durable medium, confirmation of your prior express consent and of your acknowledgement of the loss of the right of withdrawal (Article VI.46, § 7, of the Code of Economic Law).
8.6. Withdrawal after a request for immediate performance. If you requested that performance begin during the withdrawal period, and you withdraw while your right has not been lost, you pay us an amount proportionate to what has been provided to you up to the time you informed us of your withdrawal, in comparison with the full coverage of the contract (Article VI.51, § 3, of the Code of Economic Law).
No amount is due if you did not make an express request for immediate performance or if we did not provide you with the required information.
8.7. Refund. We refund the sums received, less any amount referred to in Article 8.6, within 14 days of the day on which we are informed of your decision, using the same means of payment as the one used for the order, at no cost to you (Article VI.50, § 1, of the Code of Economic Law).
8.8. Consequences for your account. After your withdrawal, we disable access to the Paid Offer and you refrain from using it. You can ask, free of charge, by email to support@erudiam.com, to retrieve the non-personal content you created when using the Service (for example your written essays), in a commonly used and machine-readable format (Article VI.50 of the Code of Economic Law). Your rights relating to your personal data are described in the Privacy Policy.
8.9. Renewals. The right of withdrawal described in this article may be exercised when the Subscription is first taken out.
The renewal of the Subscription is governed by Article 7 of these Terms of Sale.
A model withdrawal form is set out in the annex.
9. Guarantees and results
Consumers: we are liable for any lack of conformity of the Service, which is digital content or a digital service, under the conditions of Articles 1701/1 et seq. of the former Belgian Civil Code.
These Terms of Sale in no way limit this guarantee. If you notice a defect, write to us at support@erudiam.com describing it; we remedy it under the conditions provided for by law.
Business Customers: we undertake to provide the Service with the care of a normally diligent provider (obligation of means).
Any claim relating to a lack of conformity must be sent to us in writing within 8 days of its discovery. We remedy it by bringing the Service into conformity or, failing that, by refunding pro rata the period affected.
The statutory guarantees specific to Consumers do not apply.
No guarantee of results. Erudiam is a preparation tool. We do not guarantee success in EPSO competitions or a particular score. Educational content, including content generated by artificial intelligence, is provided for guidance only.
10. Liability
Consumers: our liability is governed by the general law and by Article 13 of the Terms of Service. Nothing in these Terms of Sale excludes or limits our liability where the law prohibits this, or your mandatory rights as a consumer.
Availability of the Service. If unavailability of the Service attributable to us exceeds 5% of a calendar month, you may ask us for a credit or an extension of your Subscription in proportion to the duration of the unavailability.
For Business Customers, this credit is the only compensation due for the unavailability of the Service.
For Consumers, it is granted without prejudice to their statutory rights.
Business Customers: limitation. Our liability is limited to direct and foreseeable damage, and may not exceed an amount equal to the sums you paid us in the 12 months preceding the event giving rise to liability.
Business Customers: exclusion. We are not liable for indirect damage, including but not limited to loss of profit, chance, opportunity, customers or data, or damage to image or reputation.
Business Customers: exceptions. The above limitations and exclusions do not apply in the event of wilful misconduct (fraud) or gross negligence on our part, or where the law prohibits them.
11. Changes to the Terms of Sale and to prices
We may change these Terms of Sale, in particular to take account of changes in the law, the Service or our organisation. The version applicable to your Subscription is the one in force on the day of the order or of the last renewal.
Consumers: any change to these Terms of Sale is notified to you by email with 30 days' notice. It applies to your current Subscription only from its next renewal, unless it is required by law or is more favourable to you. If you do not accept the change, you can object to the renewal under the conditions of Article 7.3.
Consumers: a price increase applies only from the next renewal, and can be relied on against you only if it was notified to you by email sufficiently in advance for you to object to the renewal (Article 7.3), and at least 30 days before the renewal date. We do not change the essential characteristics of the Paid Offer during a period without your consent. The end of an introductory offer announced at the time of the order (Article 3) is not a price increase.
Business Customers: changes to these Terms of Sale and to prices are notified to you by email with 30 days' notice and apply at the earliest from the next renewal period. You can avoid them by preventing the renewal in accordance with Article 7.6.
12. Personal data
Personal data processed during the order and payment is processed in accordance with our Privacy Policy, which sets out in particular the purposes, retention periods, recipients and your rights.
13. Intellectual property
The Paid Offer gives you a personal, non-exclusive, non-assignable right of use, limited to the duration of the Subscription, in accordance with the Terms of Service.
Erudiam's content (questions, explanations, mock exams, databases, interface) remains our property or that of our licensors.
You may not reproduce, systematically extract, resell, share or make available to third parties this content or your access, other than through the sharing features provided by the Service.
14. Complaints and mediation
Complaint. Any complaint can be sent to support@erudiam.com. We acknowledge receipt and reply within a reasonable time.
Consumers: mediation. If we are unable to resolve the dispute, you can refer it free of charge to the Consumer Mediation Service: North Gate II, Boulevard du Roi Albert II 8 bte 1, 1000 Brussels, tel. 02 702 52 20, contact@mediationconsommateur.be, www.mediationconsommateur.be.
Business Customers: in the event of a dispute, we undertake first to seek an amicable solution before taking any legal action.
15. Governing law and jurisdiction
These Terms of Sale and the Subscription are governed by Belgian law.
Consumers: the Belgian courts have jurisdiction, without prejudice to the mandatory consumer protection provisions of the Member State of the European Union in which you reside and to your right to bring proceedings before the competent courts in accordance with the law.
Business Customers: any dispute falls within the exclusive jurisdiction of the courts of the judicial district of Brussels, French-speaking division of the enterprise court.
16. General provisions
Force majeure. Neither party is liable for a failure due to force majeure within the meaning of Article 5.226 of the Civil Code. Performance of its obligations is suspended for the duration of the event.
Partial invalidity. If a clause of these Terms of Sale is declared void or unenforceable, the other clauses remain in force and the clause concerned is replaced, as far as possible, by a valid clause with equivalent effect.
Evidence. The data kept in our computer systems (orders, confirmations, payments, emails) is authoritative, unless you provide evidence to the contrary by any means.
Assignment. We may assign the Subscription to a buyer of Erudiam's business, subject to informing you beforehand. In that case, you may terminate free of charge and obtain a pro rata refund for the period paid for and not used.
Business Customers: the Business Customer's general terms and conditions are excluded. Failure to exercise a right provided for in these Terms of Sale does not constitute a waiver of that right.
